1. Acceptance

These Terms and Conditions ("Terms") govern the use of the Sg Sales service ("the Service"), operated by SG Bolivia SRL, a company incorporated under the laws of Bolivia with registered office in Santa Cruz de la Sierra.

By registering or using the Service, you ("the Customer" or "you") accept these Terms in their entirety. If you do not agree, you must not use the Service.

2. Description of Service

Sg Sales is an automated commercial assistance platform for businesses. It enables the operation of a conversational agent ("Aitana") on WhatsApp Business to:

  • Handle prospect inquiries 24/7
  • Qualify leads automatically using BANT and SPIN methodologies
  • Send multimedia content (demo videos, proposals, catalogs)
  • Sync conversations with a web-accessible admin panel
  • Generate commercial activity reports
  • Schedule automatic follow-ups

3. Eligibility

  • Be a natural person over 18 or a legally constituted entity
  • Have authority to contractually bind the business they represent
  • Comply with applicable laws in their jurisdiction
  • Have an active WhatsApp Business account and accept Meta Platforms, Inc. terms

4. Account and credentials

  • The Customer is responsible for the confidentiality of their admin panel access tokens.
  • Any activity performed under their account is presumed authorized by the Customer.
  • In case of suspected unauthorized access, the Customer must notify us immediately.
  • We reserve the right to revoke credentials in case of abuse, fraud, or breach.

5. Acceptable use

The Customer agrees NOT to use the Service to:

  • Send spam or unsolicited messages without prior recipient consent
  • Impersonate persons or businesses
  • Promote illegal products or services
  • Distribute sexual, violent, discriminatory, or hate-inciting content
  • Collect personal data without legal basis
  • Reverse engineer or introduce malware
  • Resell the Service without prior written authorization
  • Any activity that infringes WhatsApp Business or Meta policies

Breach may result in immediate suspension without refund.

6. Compliance with WhatsApp and Meta

  • Has a legitimate WhatsApp Business account connected through Meta's official Embedded Signup flow
  • Complies with the WhatsApp Business Messaging Policy and WhatsApp Business Terms
  • Obtains explicit consent from recipients before sending proactive messages
  • Respects recipients' right to opt out at any time ("BAJA", "STOP", "UNSUBSCRIBE")

7. Plans, payments, and billing

  • Current plans are published at sg-ventas.com
  • Payments are billed monthly or annually depending on the chosen plan
  • Payment delay exceeding 15 days may result in Service suspension
  • We do not refund partially used periods, except for causes attributable to Sg Sales

8. Intellectual property

  • The software, code, design, and trademark Sg Sales are owned by SG Bolivia SRL.
  • Content generated by the Customer remains their property. They grant us a non-exclusive license to process it solely to provide the Service.
  • Aggregated and anonymized data may be used to improve the Service.

9. Service availability

The Service is provided "as is" and "as available". We make reasonable efforts to maintain uptime, but do NOT guarantee 100% availability. There may be interruptions due to maintenance, external provider failures (Meta, Railway, Cloudflare, Google), or force majeure.

10. Limitation of liability

  • Sg Sales is not responsible for incorrect, imprecise, or inappropriate responses generated by the AI agent. The Customer is responsible for reviewing and supervising bot content.
  • We are not responsible for loss of income, lost profits, reputational damage, or data loss
  • Our total cumulative liability shall not exceed the amount paid in the 3 months prior to the incident

11. Artificial Intelligence — Important notice

  • AI may generate incorrect, biased, or offensive content despite our controls
  • Responses do not constitute binding legal, medical, financial, or professional advice
  • The Customer is responsible for configuring prompts appropriate to their industry
  • We recommend manually reviewing critical conversations

12. Personal data

Personal data processing is governed by our Privacy Policy, which is an integral part of these Terms.

13. Termination

The Customer may cancel their account at any time. We reserve the right to terminate with 7 days prior notice in case of breach, Meta suspension, non-payment exceeding 30 days, or abusive behavior. In serious cases (fraud, illegal content), termination is immediate.

14. Modifications

We may modify these Terms. Material changes will be communicated 30 days in advance via email. Continued use implies acceptance.

15. Applicable law and jurisdiction

These Terms are governed by the laws of the Plurinational State of Bolivia. Any dispute will be resolved before the competent courts of Santa Cruz de la Sierra.
